The contract. Plain English.

These Terms of Service (“Terms”) form a binding contract between you (“you,” “your”) and Nexural Trading, a Massachusetts limited liability company (“Nexural,” “we,” “us,” “our”). By creating an account, subscribing to a paid plan, downloading our book, joining our Discord, or using any other part of the Nexural platform (collectively, the “Service”), you agree to these Terms in full.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have that authority, or if you do not agree to these Terms, do not use the Service.

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to create an account. The Service is not intended for minors and we do not knowingly accept registrations from children.

Accurate information

You agree to provide accurate, current, and complete information when registering, and to keep that information up to date. We may suspend accounts that contain knowingly false information, including impersonation of another person or firm.

Account security

You are responsible for safeguarding your password and for everything that happens under your account. Notify us immediately at security@nexural.io if you suspect unauthorized access. We will not be liable for loss arising from your failure to keep credentials secure, but we will work in good faith with you to investigate any incident.

• One human, one account. Sharing logins across multiple traders violates these Terms and our license model.
• Two-factor authentication is available for every plan and recommended for every account.
• You may not transfer your account to another person without our written consent.

Nexural is sold as a subscription. The current plans, prices, and feature lists are published on the Pricing page and are incorporated into these Terms by reference.

Billing cycle

Subscriptions renew automatically at the end of each billing cycle (monthly or annual, as you selected) using the payment method on file. We process payments through stripe.com; we never store full card numbers on our servers.

Taxes

Stated prices are exclusive of applicable sales tax, VAT, GST, or similar transaction taxes, which will be added at checkout where required by law. You are responsible for any taxes imposed on your use of the Service that are not collected by us.

Price changes

We may change subscription prices. If we do, we will give at least 30 days’ advance notice by email and on the Pricing page. Price changes take effect on your next renewal — never mid-cycle. You may cancel before the renewal if you do not accept the new price.

Failed payments

If a payment fails, we will retry on a schedule and notify you by email. After repeated failure, we may downgrade your account to a free tier or suspend access until payment resumes. Reactivation does not require a new signup.

We offer a 7-day money-back guarantee on every paid plan, starting from the date of your first paid charge on that plan. If the Service is not for you, email billing@nexural.io within 7 days of that first charge and we will issue a full refund to your original payment method. No interrogation. No retention call. No “just one more question.”

What is not refundable

• Renewals after the initial 7-day window — cancel before the renewal date instead. We send a renewal reminder by email five days in advance.
• Add-on purchases (e.g. one-time data exports, custom indicators built on contract) once delivered.
• Subscriptions terminated by us for breach of these Terms.

How to cancel

You can cancel anytime in Settings → Billing or by emailing billing@nexural.io. Cancellation takes effect at the end of the current billing period; you keep access until then.

You agree not to use the Service in any way that violates applicable law or these Terms. The list below is illustrative, not exhaustive — use common sense.

• No reverse engineering, decompiling, scraping at scale, or attempting to extract source code, model weights, or proprietary indicator logic.
• No reselling, sublicensing, or white-labeling the Service or its outputs without a written commercial agreement.
• No automated access (bots, crawlers, headless agents) that exceeds the rate limits published in our API documentation.
• No uploading malicious code, attempting to bypass security controls, or interfering with other users’ accounts.
• No use of Sage AI to generate content that is unlawful, harassing, defamatory, or infringes someone else’s rights.
• No impersonation of Nexural staff, other users, regulators, or third-party firms in journals, chat, or leaderboard entries.
• No representing platform output as personalized investment advice to third parties — we are a software tool, not a licensed adviser.

We may, at our discretion and without prior notice, remove content, suspend accounts, or terminate access for violations. For severe or repeated violations, termination is permanent.

The Service — including its software, designs, indicators, research notes, model prompts, copy, branding, and documentation — is owned by Nexural or our licensors and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal trading workflow during the term of your subscription. That is the entirety of the license.

Your content

You retain ownership of every journal entry, chart annotation, comment, and file you upload (“Your Content”). By submitting Your Content to the Service, you grant Nexural a worldwide, royalty-free, non-exclusive license to host, copy, display, and process Your Content solely to operate, secure, and improve the Service for you.

Public content

Content you choose to make public — Trading Floor leaderboard submissions, public journals, comments, Discord posts — remains yours, but you grant us and other users a perpetual, worldwide license to display and reference that content within the Service and in derivative work such as research summaries or featured posts. You may delete public content at any time; we will remove it from the live Service and from search indexes within a commercially reasonable period.

Feedback

If you send us product feedback, feature requests, or bug reports, we may use them without restriction or compensation. We are grateful — but they are not Your Content.

The Service connects to third-party providers — your broker, our market data vendors, payment processors, AI model providers, and others. These providers operate under their own terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services, and any disputes about a third-party service are between you and that provider.

Where you connect your broker through an integration, you authorize Nexural to read the data needed to power the features you have enabled (positions, fills, account balances). You may revoke that authorization at any time in Settings → Integrations; revocation will disable dependent features.

You may terminate this contract at any time by canceling your subscription and deleting your account. We may terminate or suspend your access if you breach these Terms, if you fail to pay, if your activity creates security or legal risk to the Service or other users, or if we wind down the Service.

What survives

Sections governing intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution survive any termination of these Terms.

Data after termination

You may export your journals and trade history before terminating. After termination, we retain personal data only as long as required by law and as described in the Privacy Policy. Backup copies are purged on a rolling 30-day cycle.

The Service is provided AS IS and AS AVAILABLE without warranty of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, Nexural disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, that any data will be accurate or reliable, or that AI output will be correct, current, or appropriate for your situation.

To the maximum extent permitted by law, in no event will Nexural — including its officers, employees, contractors, or affiliates — be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost trading opportunities, lost data, or loss of goodwill, arising from or related to your use of (or inability to use) the Service, even if we have been advised of the possibility of those damages.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, our liability is limited to the smallest amount permitted by law. Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or any other liability that cannot lawfully be excluded.

You agree to defend, indemnify, and hold harmless Nexural and its officers, directors, employees, contractors, and agents from and against any claim, demand, loss, liability, damage, or expense (including reasonable attorneys’ fees) arising out of (a) your breach of these Terms, (b) your violation of applicable law, (c) Your Content, or (d) your use of the Service in a way these Terms do not permit.

We will use reasonable efforts to notify you promptly of any claim and to cooperate with your defense at your expense, and you may not settle a claim that imposes any obligation on Nexural without our prior written consent.

These Terms are governed by the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Try to resolve it directly first

Before filing anything, please email legal@nexural.io with a description of the issue and the outcome you want. We will respond within 10 business days. Most disputes get solved here without lawyers, retainers, or filings — we are a small team and we want to fix it.

Arbitration

If a dispute cannot be resolved informally within 60 days, either side may elect binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The seat of arbitration will be Boston, Massachusetts; the language will be English; the arbitrator’s award will be final and enforceable in any court of competent jurisdiction.

No class actions

You and Nexural agree to bring claims only on an individual basis. Class actions, class arbitrations, and representative actions are not permitted.

Court carve-outs

Nothing here prevents either party from seeking injunctive relief in court for the protection of intellectual property, confidentiality, or unauthorized access to the Service, or from filing a small-claims action in the courts of Suffolk County, Massachusetts.

We may update these Terms from time to time. When we do, we will revise the “last updated” date at the top of this page and, for material changes, give at least 30 days’ advance notice by email and an in-app banner. The current version is always at nexural.io/terms.

If you continue using the Service after the changes take effect, you accept the updated Terms. If you do not accept them, cancel your subscription before the effective date and we will refund any unused portion of a prepaid annual term on a pro-rata basis.

Prior versions of these Terms are archived. If you need to review a specific historical version (for example, the version in effect when you signed up), email legal@nexural.io and we will send the PDF.
